Supplemental Terms for Instagram Summit by Manychat 2025

These Event Terms (the “Event Terms”) apply to your registration and participation in the Instagram Summit 2025 (the “Event”) by Manychat, Inc. (“Manychat”). By registering for or attending the Event (whether in-person or virtual), you agree to these Terms, which supplement Manychat’s existing Terms of Service, Privacy Policy, and Cookies Statement. In case of any conflict between these Terms and Manychat’s general Terms of Service or policies, these Event Terms will govern matters specific to the Event. All capitalized terms not defined here have the meanings given in the Manychat Terms of Service.

Acceptance of Terms & Incorporation of Manychat Policies

Incorporation of Base Terms: These Event Terms incorporate by reference Manychat’s Terms of Service, Privacy Policy, and Cookies Statement. By attending or participating in any portion of the Event, you acknowledge that you have read and agree to those documents in addition to these Terms. Manychat’s Privacy Policy (available on our website) describes how we collect, use, and protect your personal data, and is incorporated herein by reference. All personal information collected in connection with the Event will be handled in compliance with that Privacy Policy and applicable data protection laws (including the EU General Data Protection Regulation “GDPR”, the California Consumer Privacy Act “CCPA” and the Lei Geral de Proteção de Dados “LGPD”).

Scope: These Terms apply to all attendees, speakers, sponsors, volunteers, and participants of the Event. You may not attend the Event (in person or online) unless you accept these Terms. If you are registering on behalf of another individual or group, you represent that you have the authority to accept these Terms on their behalf and that each attendee you register has also agreed to comply with these Terms. You are responsible for ensuring that anyone you register is aware of and abides by these Terms.

Registration, Ticket Purchases, and Refund Policy

Ticket Sales Are Final: All ticket purchases for The Event are final. Once you complete your registration purchase, the price and purchase are locked in and will not be adjusted or retroactively changed for promotions. Please review your order carefully before completing payment, as we do not offer refunds except in the limited circumstances outlined below. Promotional or discount codes, if offered, must be applied at the time of purchase and cannot be applied retroactively or to different ticket types.

Payments. If payment of any fees or charges is required, you may be asked to supply certain relevant information, such as your credit card number and its expiration date, your billing address and your shipping information. You represent and warrant that you have the right to use any credit card for which you provide any credit card information in connection with a payment transaction. By submitting such information, you grant to Manychat the right to provide such information to third parties for purposes of facilitating payment transactions. Verification of information may be required prior to the acknowledgment or completion of any payment transaction. You will pay all fees and charges incurred by you or on your behalf in connection with the Event, at the prices in effect and disclosed to you when such fees or charges are incurred. In addition, you are responsible for any taxes applicable to your payment transactions.

Manychat reserves the right, including without prior notice, to cancel, terminate or impose conditions on the honoring of any coupon, discount or similar promotion. Any refunds for Manychat’s cancellation of the Event will be subject to Manychat’s applicable refund policies.

Transfers of Tickets: If you can no longer attend, you may transfer your Event ticket to another person up until the Event (e.g. up until on-site check-in for in-person tickets). Ticket transfers must follow our designated process (such as using the Event registration platform to assign the ticket to the new attendee). The new holder of the ticket will be bound by these Terms. No resale of tickets or badges is permitted; any attempted resale or transfer not authorized by Manychat may result in cancellation of the ticket without refund.

Limited Refund Exception: Tickets are non-refundable; provided, however, Manychat may honor a one-time refund request if it is submitted within 48 hours of your ticket purchase and before the cutoff date for the Event. Any such refund request must be made no later than September 1, 2025 for in-person event tickets, or October 1, 2025 for online event tickets. If these conditions are met, your ticket purchase price will be refunded to the original payment method. After these dates (or beyond 48 hours from purchase, if sooner), no refunds will be issued for cancellations or no-shows. All refund requests must be made in writing to Manychat at the designated contact email events@manychat.com, and approved refunds will be processed back to the original form of payment within a reasonable time.

Event Cancellation or Rescheduling: In the unlikely event that Manychat cancels the Event in its entirety, you will be notified via a public announcement (on the event website) and/or email, and Manychat will refund your registration fees in full. If the Event is rescheduled or materially changed in format (for example, shifted from in-person to fully virtual) and you are no longer able or willing to attend as a result, you may request a cancellation of your registration in writing within two (2) weeks of the notice of such change. Provided your cancellation request is timely, Manychat will refund your registration fee. Failure to notify us within the two-week window signifies acceptance of the new event date/format and forfeiture of any refund for that change. Other than as explicitly described in this section or as required by law, no refunds or credits will be issued for changes to the Event, such as changes in speakers, agenda, venue, or other features. Manychat also reserves the right to modify the Event schedule, agenda, speakers, or programming as needed, and such modifications will not entitle attendees to a refund or other compensation, so long as the overall Event is held as planned.

No Chargebacks: By purchasing a ticket, you agree not to initiate any chargeback with your credit card provider except in cases of actual fraud. Any disputes or refund requests should be directed to Manychat through the official process described above. Unauthorized chargebacks may be contested by Manychat and could result in your ticket being canceled.

Travel and Accommodation: Attending the in-person portion of the Event is at your own expense. Manychat is not responsible for your travel or lodging costs. If you cancel your attendance (or if the Event is canceled or rescheduled), you are solely responsible for canceling any personal travel arrangements. Manychat will not reimburse travel or accommodation expenses.

Attendee Conduct and Community Guidelines

We are committed to providing a safe, inclusive, and enjoyable experience for all Event participants. By attending, you agree to abide by Manychat’s Community Guidelines and this Terms. This includes both the in-person venue rules and any virtual event community standards.

Professional and Respectful Behavior: Attendees are expected to behave in a professional, respectful manner at all times. Harassment, discrimination, bullying, or intimidation of any kind will not be tolerated. This includes (but is not limited to) offensive verbal comments related to gender, sexual orientation, disability, physical appearance, race, religion, or any other personal characteristic; unwelcome sexual attention; and disruptive or lewd behavior. No harassing, hateful, or abusive behavior toward anyone (attendees, staff, speakers, sponsors, or venue personnel) will be permitted.

Compliance with Staff Instructions and Rules: You must follow all instructions given by Event staff, Manychat personnel, and venue security. This includes adhering to posted signs, not entering restricted areas, and complying with any health and safety guidelines (e.g. fire codes, crowd movement rules, or public health measures in effect). If the venue (such as 1 Hotel West Hollywood, our in-person venue) has its own conduct standards or terms of use, you agree to follow those as well while on the premises. For example, illegal activities, hazardous behavior, or bringing prohibited items into the venue are strictly forbidden.

No Unauthorized Commercial Activity: Only official Event sponsors and exhibitors are permitted to promote their products or services at the Event. Attendees may not engage in unauthorized marketing, promotional activities, distributing materials, or hosting unofficial gatherings targeting Event participants without Manychat’s prior written approval. Activities such as ambush marketing, unapproved parties or demonstrations concurrent with the Event, or using the Event to solicit business without permission are prohibited. Manychat reserves the right to revoke any attendee badge and remove any person who conducts unauthorized commercial activity or solicitation on site.

Safety and Prohibited Items: For the safety of all attendees, we reserve the right to enforce security measures at in-person events. All persons and bags may be subject to search upon entry or at any time on the event premises. Do not leave bags or personal items unattended; unattended items may be removed by security. The following items are prohibited at the venue: firearms or weapons of any kind, explosives, illegal drugs or substances, and any other materials that are illegal or deemed hazardous or offensive. If you are found with prohibited items, or refuse to comply with security measures (like bag checks or metal detectors), you may be denied entry or removed from the Event without a refund. For in-person events, you must also adhere to the legal drinking age (21+ to consume alcohol in the U.S.); valid government ID may be required to purchase or consume alcoholic beverages, and intoxicated behavior is grounds for removal.

Badges and Identification: If attending in person, you must wear your official Event badge or credential (and any provided wristbands or ID tags) at all times while at the Event venue. Badges are personal and non-transferable except through the authorized transfer process (see Section 2). Do not share or loan your badge to anyone. Manychat or venue staff may ask to see a matching photo ID at any time to verify your identity against your badge. If you lose your badge, please notify registration staff; a replacement may be provided at Manychat’s discretion (a fee may apply for lost badge replacement). Unauthorized duplication or sale of badges is prohibited and may result in confiscation without refund.

Enforcement and Removal: Manychat reserves the right to remove or refuse entry to any attendee who violates these Conduct terms or whom we determine (in our sole discretion) is behaving in a way that could be disruptive, unsafe, illegal, or detracts from the Event experience for others. If you are removed or banned from the Event for misconduct, you will not be entitled to any refund or compensation. We also reserve the right to ban individuals from future events (for a period of time or indefinitely) for serious violations of the Code of Conduct. If you witness or experience any behavior that violates these standards, we encourage you to report it promptly to Event staff (you may also email our team at events@manychat.com, anonymously if needed). We will handle reports with discretion and care for the safety of all participants.

Media Release and Waiver

By attending the Event, you understand and agree that the Event (including the audience, speakers, and activities) may be photographed, recorded, or filmed by Manychat or its authorized partners. This includes still photography, video or audio recordings, live webcasts or streaming, and other forms of capture (collectively, “Recordings”).

Consent to Recording: By registering for and entering the Event, you consent to Manychat’s photography, filming, and recording of you during the Event, and to Manychat’s subsequent use of your likeness, image, voice, appearance, and statements (your “Image”) in any and all media. You acknowledge that your Image may be captured incidentally or purposefully in Event Recordings (for example, you may appear in crowd photos, or you may be interviewed on camera). Attendance at the Event implies your consent to be photographed or recorded without need for further approval.

Usage Rights Granted to Manychat: You hereby grant Manychat and its affiliates a worldwide, perpetual, royalty-free, and irrevocable license to use, reproduce, distribute, publish, exhibit, edit, and digitize the Recordings that include your Image, in any media or format now existing or later developed, for any lawful purpose. This includes, but is not limited to, using Event photographs or footage for commercial or promotional purposes (such as marketing materials, press releases, highlight reels, future event promotion), as well as for educational or informational purposes. This license is granted without requiring any further consent from you and without any compensation to you. To the extent permitted by law, you also waive any rights of publicity, privacy, or approval over how your Image is used by Manychat and release Manychat from any liability relating to its use of the Recordings. You will not have any ownership interest or right to revenues arising from any Recordings or photographs captured at the Event; all Recordings will be the sole property of Manychat (or its designees) to use as Manychat sees fit.

No Expectation of Privacy in Event Spaces: Please be aware that Recordings of the Event, including those that capture attendees, may be made publicly available (for example, live-streamed sessions, social media posts, or published videos) and that third parties could see or use such Recordings. Once such content is public, Manychat cannot control how third parties might use or disseminate it. If you do not wish to be photographed or recorded, you should avoid being in areas where recording is taking place, or reconsider your attendance. However, by being present at the Event, you acknowledge that it is not feasible to opt out from all Event recording in a public setting. Manychat will handle any personal data captured in Recordings in accordance with our Privacy Policy and applicable law.

CCPA/GDPR Notice: Manychat will not sell the personal data of attendees (including images or recordings of identifiable individuals) to third parties. Any processing of your Image or personal data for Event-related purposes is done under legitimate interests of running and promoting the Event, or on the basis of your consent by attending, in compliance with GDPR where applicable. If you are a California resident or an EU/EEA resident, please note that you may have certain rights under CCPA or GDPR (such as the right to request deletion or opt-out of certain data uses). To exercise any data subject rights with respect to Event media or your personal data, please refer to Manychat’s Privacy Policy for contact information and details on how to submit a request. Manychat will honor valid requests as required by law. That said, by attending the Event, you acknowledge that your image may be processed as described and shared publicly, and that removal of published Event recordings may not be feasible if they have been broadly disseminated (we will, however, refrain from further use of your Image in new materials upon a valid opt-out).

Media by Attendees: We recognize attendees often want to capture and share their Event experience. In general, you are allowed to take your own photographs and short video/audio clips during the Event for personal, non-commercial use (e.g. sharing on your social media or blog), so long as you do not disrupt sessions or infringe on the intellectual property or privacy rights of others. Please be mindful of others when photographing or recording; do not post images or footage of other attendees who have asked not to be included. Live streaming full sessions or publishing full-length recordings of Event presentations without permission is prohibited, as sessions may include copyrighted content. Manychat or venue staff may limit or restrict recording in certain areas or for certain sessions (for example, sensitive content or requests by a speaker). If we announce or signal that recording is not allowed in a particular session or area, you must comply and refrain from recording. Attendees must also not use any Event recordings (whether taken by Manychat or by themselves) in a manner that is misleading, disparaging, or suggests sponsorship/endorsement by Manychat if that is not the case. Manychat reserves the right to ask you to stop recording or photographing and to enforce these requirements as needed. You agree to indemnify and defend Manychat from any claims arising from the capture, use or publication of your own photographs, recording or other media creations related to the Event.

Privacy and Data Protection

Manychat is committed to data privacy and protecting your personal information. This Event is subject to Manychat’s standard Privacy Policy (see Section 1), and the following description highlights how your data may be used for the Event:

  • Use of Registration Data: The personal information you provide during Event registration (such as your name, contact information, company, etc.) will be used by Manychat to administer your participation in the Event. This includes uses such as: communicating with you about Event logistics and updates, facilitating session sign-ups or badge printing, confirming payments, and tailoring your Event experience. We may share your registration details with trusted service providers who assist us in running the Event (for example, the registration platform provider, event venue, badge printing services, or virtual event hosting platforms) strictly for the purpose of operating the Event. All such third-party processors will handle your data according to agreements that protect your information and in line with applicable privacy laws. Except as described in these Terms or in our Privacy Policy, Manychat will not disclose your personal information to any third party without your consent, except where required by law.
  • Event Mobile App or Platform: If the Event uses a mobile app or online platform for attendees, your profile information (e.g. name, profile photo, company) may be visible to other attendees within that platform. You may have the option to hide or limit certain information by adjusting your profile settings. Any activity data (such as session check-ins, networking connections, or messages) on the Event platform will be processed in accordance with the platform’s terms and our Privacy Policy.
  • Badge Scanning & Networking: If you attend in person, your attendee badge (or wearable device) may be scanned at entry to sessions or specific areas to record attendance, facilitate CPD credits, or manage capacity. Manychat uses this information for operational and analytical purposes (e.g. understanding session popularity) in compliance with our Privacy Policy. Sponsors or exhibitors may request to scan your badge at their booths or sessions, which can provide them your contact details you gave at registration (like name, email, company). Badge scanning by sponsors is optional and at your discretion – you can decline to have your badge scanned. If you agree to be scanned by a sponsor, you are consenting to share your info with that sponsor, and their use of your data will be governed by their privacy policy (they should provide or make available their privacy notice at the time of scanning). You are never required to submit to a sponsor scan, and if you’re uncomfortable with a sponsor’s data practices, you can refuse the scan.
  • Sharing with Sponsors and Partners: We will not share your personal registration data with Event sponsors or partners unless: (a) you expressly opt-in to such sharing during the registration process or in your account preferences, or (b) you voluntarily allow a sponsor to scan your badge as described above. Manychat may ask if you wish to receive communications from Event sponsors – this is entirely optional. If you do opt-in, Manychat may provide your basic contact details to those sponsors so they can send you relevant offers or information. Any such communications will come directly from the sponsors, and you should refer to their privacy policies to understand how they use your data. You can unsubscribe from a sponsor’s communications at any time by following their provided opt-out mechanism (e.g. an “unsubscribe” link in emails). Important: Manychat does not control and is not responsible for sponsors’ handling of your information, and no data will be shared with sponsors unless you choose to opt-in. Aside from sponsors, we will not sell or rent your personal data to third parties.
  • Data Protection Compliance: Manychat will process personal data collected in relation to the Event in accordance with applicable data protection laws. As noted above, our legal bases for processing may include the necessity to perform our contract with you (providing the Event services you signed up for), our legitimate interests in organizing and improving the Event (e.g. analyzing attendance, preventing fraud), your consent (where obtained, such as for marketing communications), and compliance with legal obligations. Please review the full Manychat Privacy Policy for further details on how we protect your data, international transfers (if any), and your rights (rights to access, rectify, delete data, etc.). If you have any questions or concerns about your personal data in the context of the Event, you may contact us at the privacy contact information provided in the Privacy Policy.

Liability and Assumption of Risk

Assumption of Risk: Your participation in the Event is voluntary. You assume all risks associated with attending the Event, to the fullest extent permitted by law. This includes, without limitation, risks of minor injuries (e.g. slips, falls), exposure to illness (such as COVID-19 or other communicable diseases), or other personal injuries or property damage that may occur at the Event. Manychat will take reasonable precautions to provide a safe environment, but we cannot eliminate all risk. By attending, you acknowledge these inherent risks. If you are uncomfortable with these risks, please do not attend in person.

No Guarantee of Event Content: Manychat will make good faith efforts to deliver a high-quality Event experience. However, we make no guarantee as to the specific content, speakers, or outcomes of the Event. Speakers and schedules are subject to change, and we do not guarantee the attendance of any particular speaker or personality. Sessions may reach capacity or be subject to availability, and admittance to specific talks or workshops is on a first-come, first-served basis unless otherwise noted. Manychat is not liable for any personal disappointments or losses resulting from schedule changes, the cancellation of certain sessions, or if you are unable to attend a specific part of the Event.

Release of Claims: To the extent permitted by law, you agree that neither Manychat nor its affiliates, officers, employees, agents, sponsors, or contractors will be liable for any loss, damage, illness, or injury arising from your attendance at or participation in the Event, except in cases of gross negligence or willful misconduct on our part. In no event will Manychat’s total liability to you exceed the amount of your registration fee paid to Manychat for the Event (if any). You are responsible for obtaining your own insurance (e.g. travel insurance, health insurance) if desired. You agree to hold Manychat harmless and indemnify us from any third-party claims resulting from your breach of these Terms or your negligence or misconduct at the Event.

Indemnification. You agree to indemnify and hold harmless Manychat, and its employees, officers, board members, contractors, agents and affiliates, successors and assigns from and against any and all third party claims, liabilities, losses, damages and expenses (including without limitation, reasonable attorneys’ fees) arising out of or in connection with (i) your actual or alleged negligence or willful misconduct in connection with this Terms, and (ii) any bodily injury or death or damage to real or tangible personal property, including the Event space and staff, in connection with your attendance of the Event.

Changes to These Terms

Manychat reserves the right to update or modify these Event Terms at any time, at our sole discretion. If we make any material changes, we will post the revised Event Terms on the Event website or registration page, and update the "Last Updated" date at the top. Changes are effective upon posting of the updated Terms (or as of the effective date specified, if one is provided). We encourage you to review these Terms periodically and especially before the Event to stay informed of any updates. Your continued use of the Event website or attendance at the Event after modifications have been posted constitutes your acceptance of the revised Terms. If you do not agree to any updated Terms, you should contact Manychat to withdraw from the Event (though note that refunds will only be provided in accordance with the refund policy in Section 2 above).

Manychat may also issue additional rules or guidelines for certain Event activities (for example, contests, workshops, or giveaways) – any such additional terms will be communicated and are hereby incorporated into these Terms. In the event of a specific conflict between these Event Terms and any additional activity-specific terms, the activity-specific terms will govern for that limited purpose.

Miscellaneous

Governing Law: These Terms shall be governed by and interpreted in accordance with the laws specified in Manychat’s Terms of Service (which may depend on your jurisdiction or residence). By agreeing to these Terms, you are also agreeing to any applicable dispute resolution or arbitration provisions outlined in the Manychat Terms of Service, to the extent they apply to event participation.

Forward Looking Statements. Manychat may make or present forward-looking statements regarding its future events or future financial performance, or future events or future financial performance of its affiliates or partners. Any such statements that are not historical facts are based on Manychat’s current expectations; the actual events or results may differ materially and the statements are subject to a number of uncertainties.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Failure by Manychat to enforce any provision shall not constitute a waiver of that provision.

Acceptance: By completing your registration and/or attending the Event, you acknowledge that you have read, understood, and agree to abide by these Event Terms for the Event, as well as all incorporated Manychat terms and policies. If you do not agree, you should not register or attend the Event.
