These Supplemental Terms (“Terms”) apply to your registration and participation inthe Instagram Summit by Manychat 2025 (“IGSxM 2025” or the “Event”). Byregistering for or attending IGSxM 2025 (whether in-person or virtual), youagree to these Terms, which supplement Manychat’s existing Terms of Service, Privacy Policy, and Cookies Statement. In case of any conflict between these Termsand Manychat’s general Terms of Service or policies, these supplemental Termswill govern matters specific to the Event. All capitalized terms not defined here have the meanings given in the Manychat Terms of Service.

1. Acceptance of Terms & Incorporation of Manychat Policies

Incorporation of Base Terms: These Event Terms incorporate byreference Manychat’s Terms of Service, Privacy Policy, and Cookies Statement.By attending the Event, you acknowledge that you have read and agree to thosedocuments in addition to these Terms. Manychat’s Privacy Policy (available onour website) describes how we collect, use, and protect your personal data, andis incorporated herein. All personal information collected in connection with IGSxM2025 will be handled in compliance with that Privacy Policy and applicable dataprotection laws (including the EU General Data Protection Regulation “GDPR”, theCalifornia Consumer Privacy Act “CCPA” and the Lei Geral de Proteção de Dados “LGPD”).

Scope: These Terms apply to all attendees, speakers,sponsors, volunteers, and participants of IGSxM 2025. You may not attend theEvent (in person or online) unless you accept these Terms. If you areregistering on behalf of another individual or group, you represent that youhave the authority to accept these Terms on their behalf and that each attendeeyou register has also agreed to comply with these Terms. You are responsiblefor ensuring that anyone you register is aware of and abides by these Terms.

2. Registration, Ticket Purchases, andRefund Policy

Ticket Sales Are Final: All ticket purchases for IGSxM2025 are final. Once you complete your registration purchase, the price andpurchase are locked in and will not be adjusted or retroactively changed forpromotions. Please review your order carefully before completing payment, as wedo not offer refunds except in the limited circumstances outlined below.Promotional or discount codes, if offered, must be applied at the time ofpurchase and cannot be applied retroactively or to different ticket types.

Payments. If payment of any fees or chargesis required, you may be asked to supply certain relevant information, such asyour credit card number and its expiration date, your billing address and yourshipping information. You represent and warrant that you have the right to useany credit card for which you provide any credit card information in connectionwith a payment transaction. By submitting such information, you grant toManychat the right to provide such information to third parties for purposes offacilitating payment transactions. Verification of information may be requiredprior to the acknowledgment or completion of any payment transaction. You willpay all fees and charges incurred by you or on your behalf in connection withthe Conference, at the prices in effect and disclosed to you when such fees orcharges are incurred. In addition, you are responsible for any taxes applicableto your payment transactions.

Manychat reserves the right, including withoutprior notice, to cancel, terminate or impose conditions on the honoring of anycoupon, discount or similar promotion. Any refunds for Manychat’s cancellationof the Conference will be subject to Manychat’s applicable refund policies.

Transfers of Tickets: If you can no longer attend, you maytransfer your IGSxM 2025 ticket to another person up until the Event (e.g.up until on-site check-in for in-person tickets). Ticket transfers must followour designated process (such as using the event registration platform to assignthe ticket to the new attendee). The new holder of the ticket will be bound bythese same Terms. No resale of tickets or badges is permitted; any attemptedresale or transfer not authorized by Manychat may result in cancellation of theticket without refund.

Event Cancellation or Rescheduling: In the unlikely event that Manychatcancels the Event in its entirety, you will be notified via a publicannouncement (on the event website) and/or email, and Manychat will refundyour registration fees in full. If the Event is rescheduled ormaterially changed in format (for example, shifted from in-person to fullyvirtual) and you are no longer able or willing to attend as a result, you mayrequest a cancellation of your registration in writing within two (2) weeks ofthe notice of such change. Provided your cancellation request is timely,Manychat will refund your registration fee. Failure to notify us within thetwo-week window signifies acceptance of the new event date/format andforfeiture of any refund for that change. Other than as explicitly described inthis section or as required by law, no refunds or credits will be issuedfor changes to the Event, such as changes in speakers, agenda, venue, or otherfeatures. Manychat also reserves the right to modify the Event schedule,agenda, speakers, or programming as needed, and such modifications will notentitle attendees to a refund or other compensation, so long as the overallEvent is held as planned.

No Chargebacks: By purchasing a ticket, you agreenot to initiate any chargeback with your credit card provider except in casesof actual fraud. Any disputes or refund requests should be directed to Manychatthrough the official process described above. Unauthorized chargebacks may becontested by Manychat and could result in your ticket being canceled.

Travel and Accommodation: Attending the in-person portion of IGSxM2025 is at your own expense. Manychat is not responsible for your travel orlodging costs. If you cancel your attendance (or if the Event is canceled orrescheduled), you are solely responsible for canceling any personal travelarrangements. Manychat will not reimburse travel or accommodation expenses.

3.    Attendee Conduct and Community Guidelines

We arecommitted to providing a safe, inclusive, and enjoyable experience for allEvent participants. By attending IGSxM 2025, you agree to abide by Manychat’sCommunity Guidelines and this Terms. This includes both the in-personvenue rules and any virtual event community standards.

Professional and RespectfulBehavior: Attendeesare expected to behave in a professional, respectful manner at all times.Harassment, discrimination, bullying, or intimidation of any kind will notbe tolerated. This includes (but is not limited to) offensive verbal commentsrelated to gender, sexual orientation, disability, physical appearance, race,religion, or any other personal characteristic; unwelcome sexual attention; anddisruptive or lewd behavior. No harassing, hateful, or abusive behaviortoward anyone (attendees, staff, speakers, sponsors, or venue personnel) willbe permitted.

Compliance with Staff Instructionsand Rules: You mustfollow all instructions given by Event staff, Manychat personnel, and venuesecurity. This includes adhering to posted signs, not entering restricted areas,and complying with any health and safety guidelines (e.g. fire codes, crowdmovement rules, or public health measures in effect). If the venue (such asNeueHouse Hollywood, our in-person venue) has its own conduct standards orterms of use, you agree to follow those as well while on the premises. Forexample, illegal activities, hazardous behavior, or bringing prohibited itemsinto the venue are strictly forbidden.

No Unauthorized Commercial Activity: Only official Event sponsors andexhibitors are permitted to promote their products or services at the Event.Attendees may not engage in unauthorized marketing, promotional activities,distributing materials, or hosting unofficial gatherings targeting Eventparticipants without Manychat’s prior written approval. Activities such asambush marketing, unapproved parties or demonstrations concurrent with theEvent, or using the Event to solicit business without permission areprohibited. Manychat reserves the right to revoke any attendee badge and removeany person who conducts unauthorized commercial activity or solicitation onsite.

Safety and Prohibited Items: For the safety of all attendees, wereserve the right to enforce security measures at in-person events. Allpersons and bags may be subject to search upon entry or at any time on theevent premises. Do not leave bags or personal items unattended; unattendeditems may be removed by security. The following items are prohibited atthe venue: firearms or weapons of any kind, explosives, illegal drugs or substances,and any other materials that are illegal or deemed hazardous or offensive. Ifyou are found with prohibited items, or refuse to comply with security measures(like bag checks or metal detectors), you may be denied entry or removed fromthe Event without a refund. For in-person events, you must also adhere to thelegal drinking age (21+ to consume alcohol in the U.S.); valid government IDmay be required to purchase or consume alcoholic beverages, and intoxicatedbehavior is grounds for removal.

Badges and Identification: If attending in person, you mustwear your official Event badge or credential (and any provided wristbands or IDtags) at all times while at the Event venue. Badges are personal andnon-transferable except through the authorized transfer process (see Section2). Do not share or loan your badge to anyone. Manychat or venue staffmay ask to see a matching photo ID at any time to verify your identity againstyour badge. If you lose your badge, please notify registration staff; areplacement may be provided at Manychat’s discretion (a fee may apply for lostbadge replacement). Unauthorized duplication or sale of badges is prohibitedand may result in confiscation without refund.

Enforcement and Removal: Manychat reserves the right to removeor refuse entry to any attendee who violates these Conduct terms or whom wedetermine (in our sole discretion) is behaving in a way that could bedisruptive, unsafe, illegal, or detracts from the Event experience for others.If you are removed or banned from the Event for misconduct, you will not beentitled to any refund or compensation. We also reserve the right to banindividuals from future events (for a period of time or indefinitely) forserious violations of the Code of Conduct. If you witness or experience anybehavior that violates these standards, we encourage you to report it promptlyto Event staff (you may also email our team at events@manychat.com, anonymously if needed). We will handle reports with discretion andcare for the safety of all participants.

4.    Media Release and Waiver

By attending IGSxM 2025, youunderstand and agree that the Event (including the audience, speakers, andactivities) may be photographed, recorded, or filmed by Manychat or itsauthorized partners.This includes still photography, video or audio recordings, live webcasts orstreaming, and other forms of capture (collectively, “Recordings”).

Consent to Recording: By registering for and entering theEvent, you consent to Manychat’s photography, filming, and recording of youduring the Event, and to Manychat’s subsequent use of your likeness, image,voice, appearance, and statements (your “Image”) in any and all media. Youacknowledge that your Image may be captured incidentally or purposefully inEvent Recordings (for example, you may appear in crowd photos, or you may beinterviewed on camera). Attendance at the Event implies your consent tobe photographed or recorded without need for further approval.

Usage Rights Granted to Manychat: You hereby grant Manychat and itsaffiliates a worldwide, perpetual, royalty-free, and irrevocable licenseto use, reproduce, distribute, publish, exhibit, edit, and digitize theRecordings that include your Image, in any media or format now existing orlater developed, for any lawful purpose. This includes, but is notlimited to, using Event photographs or footage for commercial or promotionalpurposes (such as marketing materials, press releases, highlight reels,future event promotion), as well as for educational or informational purposes.This license is granted without requiring any further consent from you and withoutany compensation to you. To the extent permitted by law, you also waiveany rights of publicity, privacy, or approval over how your Image is usedby Manychat and release Manychat from any liability relating to its use of theRecordings. You will not have any ownership interest or right to revenuesarising from any Recordings or photographs captured at the Event; allRecordings will be the sole property of Manychat (or its designees) to use asManychat sees fit.

No Expectation of Privacy in EventSpaces: Please beaware that Recordings of the Event, including those that capture attendees, maybe made publicly available (for example, live-streamed sessions, socialmedia posts, or published videos) and that third parties could see or use suchRecordings. Once such content is public, Manychat cannot control how thirdparties might use or disseminate it. If you do not wish to be photographedor recorded, you should avoid being in areas where recording is takingplace, or reconsider your attendance. However, by being present at the Event,you acknowledge that it is not feasible to opt out from all Event recording ina public setting. Manychat will handle any personal data captured in Recordingsin accordance with our Privacy Policy and applicable law.

CCPA/GDPR Notice: Manychat will not sell thepersonal data of attendees (including images or recordings of identifiableindividuals) to third parties. Any processing of your Image or personal datafor Event-related purposes is done under legitimate interests of running andpromoting the Event, or on the basis of your consent by attending, incompliance with GDPR where applicable. If you are a California resident or anEU/EEA resident, please note that you may have certain rights under CCPA orGDPR (such as the right to request deletion or opt-out of certain data uses). Toexercise any data subject rights with respect to Event media or your personaldata, please refer to Manychat’s Privacy Policy for contact information anddetails on how to submit a request. Manychat will honor valid requests asrequired by law. That said, by attending the Event, you acknowledge that yourimage may be processed as described and shared publicly, and that removal ofpublished Event recordings may not be feasible if they have been broadlydisseminated (we will, however, refrain from further use of your Image in newmaterials upon a valid opt-out).

Media by Attendees: We recognize attendees often wantto capture and share their Event experience. In general, you are allowed totake your own photographs and short video/audio clips during the Event forpersonal, non-commercial use (e.g. sharing on your social media or blog), solong as you do not disrupt sessions or infringe on the intellectual property orprivacy rights of others. Please be mindful of others when photographing orrecording; do not post images or footage of other attendees who have asked notto be included. Live streaming full sessions or publishing full-lengthrecordings of Event presentations without permission is prohibited, assessions may include copyrighted content. Manychat or venue staff may limit orrestrict recording in certain areas or for certain sessions (for example,sensitive content or requests by a speaker). If we announce or signal thatrecording is not allowed in a particular session or area, you must comply andrefrain from recording. Attendees must also not use any Event recordings(whether taken by Manychat or by themselves) in a manner that is misleading,disparaging, or suggests sponsorship/endorsement by Manychat if that is not thecase. Manychat reserves the right to ask you to stop recording or photographingand to enforce these requirements as needed.

5.    Privacy and Data Protection

Manychat is committed to dataprivacy and protecting your personal information. This Event is subject toManychat’s standard Privacy Policy (see Section 1), and the followingsupplemental terms highlight how your data may be used for IGSxM 2025:‍

• Use of Registration Data: The personal information you provide during Event registration (such asyour name, contact information, company, etc.) will be used by Manychat to administeryour participation in the Event. This includes uses such as: communicatingwith you about Event logistics and updates, facilitating session sign-ups orbadge printing, confirming payments, and tailoring your Event experience. Wemay share your registration details with trusted service providers whoassist us in running the Event (for example, the registration platformprovider, event venue, badge printing services, or virtual event hostingplatforms) strictly for the purpose of operating the Event. All suchthird-party processors will handle your data according to agreements thatprotect your information and in line with applicable privacy laws. Except asdescribed in these Terms or in our Privacy Policy, Manychat will not discloseyour personal information to any third party without your consent, exceptwhere required by law.
• ‍Event Mobile App or Platform: If the Event uses a mobile app or onlineplatform for attendees, your profile information (e.g. name, profile photo,company) may be visible to other attendees within that platform. You may havethe option to hide or limit certain information by adjusting your profilesettings. Any activity data (such as session check-ins, networking connections,or messages) on the Event platform will be processed in accordance with theplatform’s terms and our Privacy Policy.‍
• Badge Scanning & Networking: If you attend in person, your attendee badge(or wearable device) may be scanned at entry to sessions or specific areas torecord attendance, facilitate CPD credits, or manage capacity. Manychat usesthis information for operational and analytical purposes (e.g. understandingsession popularity) in compliance with our Privacy Policy. Sponsors orexhibitors may request to scan your badge at their booths or sessions,which can provide them your contact details you gave at registration (likename, email, company). Badge scanning by sponsors is optional and atyour discretion – you can decline to have your badge scanned. If you agree tobe scanned by a sponsor, you are consenting to share your info with thatsponsor, and their use of your data will be governed by their privacypolicy (they should provide or make available their privacy notice at the timeof scanning). You are never required to submit to a sponsor scan, and ifyou’re uncomfortable with a sponsor’s data practices, you can refuse the scan.‍
• Sharing with Sponsors and Partners: We will not share your personalregistration data with Event sponsors or partners unless: (a) you expresslyopt-in to such sharing during the registration process or in youraccount preferences, or (b) you voluntarily allow a sponsor to scan yourbadge as described above. Manychat may ask if you wish to receivecommunications from Event sponsors – this is entirely optional. If you doopt-in, Manychat may provide your basic contact details to those sponsors sothey can send you relevant offers or information. Any such communications willcome directly from the sponsors, and you should refer to their privacy policiesto understand how they use your data. You can unsubscribe from a sponsor’scommunications at any time by following their provided opt-out mechanism (e.g.an “unsubscribe” link in emails). Important: Manychat does not controland is not responsible for sponsors’ handling of your information, and nodata will be shared with sponsors unless you choose to opt-in. Aside fromsponsors, we will not sell or rent your personal data to third parties.‍
• Data Protection Compliance: Manychat will process personal data collected in relation to IGSxM 2025in accordance with applicable data protection laws. As noted above, our legalbases for processing may include the necessity to perform our contract with you(providing the Event services you signed up for), our legitimate interests inorganizing and improving the Event (e.g. analyzing attendance, preventingfraud), your consent (where obtained, such as for marketing communications),and compliance with legal obligations. Please review the full Manychat PrivacyPolicy for further details on how we protect your data, international transfers(if any), and your rights (rights to access, rectify, delete data, etc.). Ifyou have any questions or concerns about your personal data in the context ofthe Event, you may contact us at the privacy contact information provided inthe Privacy Policy.

6.    Liability and Assumption of Risk

Assumption of Risk: Your participation in the Event isvoluntary. You assume all risks associated with attending IGSxM 2025, tothe fullest extent permitted by law. This includes, without limitation, risksof minor injuries (e.g. slips, falls), exposure to illness (such as COVID-19 orother communicable diseases), or other personal injuries or property damagethat may occur at the Event. Manychat will take reasonable precautions toprovide a safe environment, but we cannot eliminate all risk. By attending, youacknowledge these inherent risks. If you are uncomfortable with these risks,please do not attend in person.

No Guarantee of Event Content: Manychat will make good faithefforts to deliver a high-quality Event experience. However, we make noguarantee as to the specific content, speakers, or outcomes of the Event.Speakers and schedules are subject to change, and we do not guarantee theattendance of any particular speaker or personality. Sessions may reachcapacity or be subject to availability, and admittance to specific talks orworkshops is on a first-come, first-served basis unless otherwise noted.Manychat is not liable for any personal disappointments or losses resultingfrom schedule changes, the cancellation of certain sessions, or if you areunable to attend a specific part of the Event.

Release of Claims: To the extent permitted by law, youagree that neither Manychat nor its affiliates, officers, employees, agents,sponsors, or contractors will be liable for any loss, damage, illness, orinjury arising from your attendance at or participation in IGSxM 2025, exceptin cases of gross negligence or willful misconduct on our part. In no eventwill Manychat’s total liability to you exceed the amount of your registrationfee paid to Manychat for the Event (if any). You are responsible forobtaining your own insurance (e.g. travel insurance, health insurance) ifdesired. You agree to hold Manychat harmless and indemnify us from anythird-party claims resulting from your breach of these Terms or your negligenceor misconduct at the Event.

Indemnification. You agree to indemnify and holdharmless Manychat, and its employees, officers, board members, contractors,agents and affiliates, successors and assigns from and against any and allthird party claims, liabilities, losses, damages and expenses (includingwithout limitation, reasonable attorneys’ fees) arising out of or in connectionwith (i) your actual or alleged negligence or willful misconduct in connectionwith this Terms, and (ii) any bodily injury or death or damage to real ortangible personal property, including the Event space and staff, in connectionwith your attendance of the Event.

7.    Changes to These Terms

Manychat reserves the right toupdate or modify these Supplemental Terms at any time, at our sole discretion.If we make any material changes, we will post the revised Terms on the IGSxM2025 event website or registration page, and update the "LastUpdated" date at the top. Changes are effective upon posting of theupdated Terms (or as of the effective date specified, if one is provided). Weencourage you to review these Terms periodically and especially before theEvent to stay informed of any updates. Your continued use of the Event websiteor attendance at the Event after modifications have been posted constitutesyour acceptance of the revised Terms. If you do not agree to any updated Terms,you should contact Manychat to withdraw from the Event (though note thatrefunds will only be provided in accordance with the refund policy in Section 2above).

Manychat may also issue additional rules orguidelines for certain Event activities (for example, contests, workshops, or giveaways)– any such additional terms will be communicated and are hereby incorporatedinto these Terms. In the event of a specific conflict between theseSupplemental Terms and any additional activity-specific terms, theactivity-specific terms will govern for that limited purpose.

8.    Miscellaneous

Governing Law: These Terms shall be governed byand interpreted in accordance with the laws specified in Manychat’s Terms of Service (which may depend on your jurisdiction or residence). By agreeing tothese Terms, you are also agreeing to any applicable dispute resolution orarbitration provisions outlined in the Manychat Terms of Service, to the extentthey apply to event participation.

Forward Looking Statements. Manychat may make or presentforward-looking statements regarding its future events or future financialperformance, or future events or future financial performance of its affiliatesor partners. Any such statements that are not historical facts are based onManychat’s current expectations; the actual events or results may differmaterially and the statements are subject to a number of uncertainties.

Severability: If any provision of these Terms isheld to be invalid or unenforceable, the remaining provisions will continue infull force and effect. Failure by Manychat to enforce any provision shall notconstitute a waiver of that provision.

Acceptance: By completing your registrationand/or attending the Event, you acknowledge that you have read, understood, andagree to abide by these Supplemental Terms for IGSxM 2025, as well as allincorporated Manychat terms and policies. If you do not agree, you should notregister or attend the Event.
